ESOPs have become powerful tool to reward and retain an employee.  No doubt ESOPs have created wealth for large number of employees.  Indeed it acts as a great motivation and creates a sense of ownership. It is important to understand the regulatory landscape in India for ESOP to ensure rightful benefit is passed to the employees.  Structuring ESOPs to make it simple to understand and administer is the key to success of ESOP.

Founders’ Agreement is an essential document to put in place. It covers various promises and discussions between co-founders.  Any new partnership comes with uncertainty.  A lot of uncertainty can be tackled if founders put in writing certain important aspects of coming together to start a venture. Vivek is a co-founder of LegaLogic Consulting, a full service law firm.  Vivek has over 21 years of experience in international technology and commercial contracts, successful IPO, top tier venture capital, investment and private equity funding, M&A/takeovers, joint venture agreements, ESOP, IP matters, and advising on STPI / SEZ set up.  Most recently he was Company Secretary and Head – Legal and Investor Relations of Persistent Systems.  Prior to Persistent, Vivek worked at Kirloskar Pneumatic, Bombay Dyeing and Siemens.

Vikas Agarwal: 

Vikas is a co-founder of LegaLogic Consulting.  Vikas has over 16 years of experience in handling matters related to M&A, ESOPs, SEBI and Listing Agreement, legal aspects of HR and admin matters, STPI and SEZ set up, IPR Management, Company Law matters, Formation and Management of Trust and Societies, and framing corporate policies.
